GENERAL TERMS AND CONDITIONS (GTC)
BB Inbound Tours & Groups GmbH (“Inbound Austria”)
1. Scope of Application
(1) These General Terms and Conditions (GTC) apply to all offers, booking confirmations and contracts issued by BB Inbound Tours & Groups GmbH (“Inbound Austria”) to business clients within the meaning of the Austrian Commercial Code (UGB).
(2) Inbound Austria provides services exclusively to business customers (B2B).
(3) Deviating terms and conditions of the client shall only apply if expressly agreed in writing.
2. Role of Inbound Austria
Inbound Austria may provide services either 1) as Principal, or 2) as Agent.
(1) As Principal, Inbound Austria provides services in its own name and on its own account.
(2) As Agent, the contract is concluded directly between the client and the service provider. Inbound Austria is then liable solely for proper mediation, not for the performance of the supplier.
3. Conclusion of Contract
A contract is deemed concluded upon:
• written acceptance of an offer,
• confirmation by e‑mail,
• placement of an order,
• or payment of an agreed deposit.
The scope of services is defined exclusively by the offer and the booking confirmation.
Order of precedence in case of discrepancies:
- Individual contract
- Booking confirmation
- Offer
- GTC
4. Services
(1) The type and scope of services are defined in the respective booking confirmation.
(2) Hotel classifications correspond to the respective national standards.
(3) Special requests or additional services are only deemed agreed if confirmed in writing.
(4) Barrier‑free rooms or special requirements require separate written confirmation.
(5) Adjustments to services are permitted if necessary and if they do not materially alter the overall character of the trip.
5. Prices and Payment Terms
(1) All prices are stated in euros.
(2) Unless otherwise agreed:
• 30% deposit upon booking
• 70% balance no later than 30 days before the start of services
(3) For bookings made within 30 days before the start of services, the full amount is due immediately.
(4) All bank and transfer fees are borne by the client.
(5) In the event of late payment, Inbound Austria may:
• suspend services,
• postpone supplier bookings,
• or withdraw from the contract.
(6) Statutory default interest and reminder fees apply.
6. Price Adjustments
6.1 General Price Adjustments
Inbound Austria may adjust prices after contract conclusion if:
• supplier prices increase,
• taxes or public charges rise,
• official fees change,
• or exchange rate fluctuations exceed 5%.
The client will be informed without delay. In the event of significant price changes, the client may withdraw from the contract within 7 days of notification. A cost‑free withdrawal is only possible to the extent that Inbound Austria itself does not incur non‑refundable costs or binding obligations towards suppliers. Non‑recoverable supplier costs remain payable by the client.
6.2 Supplier and Hotel Rates
If hotels, transport companies, venues or other service providers adjust their prices after contract conclusion in a manner unforeseeable at the time of the offer, Inbound Austria may pass on such additional costs to the client.
If the total price increases by more than 10%, the client may withdraw from the contract within 7 days of notification. The withdrawal is cost‑free only insofar as Inbound Austria does not bear non‑refundable or binding supplier costs. Non‑recoverable or already incurred third‑party costs will be charged to the client.
6.3 Exchange Rate Fluctuations
If services are based on foreign currencies, Inbound Austria may adjust prices if the relevant exchange rate changes by more than 5% between the offer date and the start of services. The reference rate is the ECB exchange rate on the date of the offer.
7. Participant Changes
(1) Name changes, room changes, reductions in participant numbers or other adjustments constitute contract modifications.
(2) Any resulting additional costs will be charged to the client. (3) Inbound Austria will endeavour to implement changes but cannot guarantee feasibility.
7a Minimum Number of Participants
If a minimum number of participants is agreed, the calculation is based on this number. If the minimum number is not reached, Inbound Austria may: • recalculate the price, • issue an adjusted offer, • or withdraw from the contract. Non‑refundable costs remain payable.
8. Cancellations
Cancellations must be made in writing.
Unless otherwise agreed, the following cancellation fees apply:

Non‑refundable supplier costs will be charged additionally. Partial cancellations may require a recalculation of the total price.
9. Force Majeure
Neither party is liable for non‑performance due to force majeure, including:
• natural disasters
• extreme weather
• war
• terrorism
• strikes
• pandemics
• official orders
• closure of transport routes or tourist facilities
Non‑refundable supplier costs and services already rendered remain payable.
10. Unused Services and Complaints
(1) Unused services do not entitle the client to a refund.
(2) Defects must be reported immediately on site.
(3) Written complaints must be submitted within 7 days after the end of the trip.
10a No‑Shows
If participants or groups fail to appear for booked services, such services are deemed fully provided. This applies in particular to:
• hotel rooms
• transfers
• guides
• restaurant reservations
• activities
• event services
No refund is granted.
11. Liability
(1) Inbound Austria is liable for intent and gross negligence in accordance with statutory provisions.
(2) In cases of slight negligence, liability is limited to essential contractual obligations.
(3) Hotels, restaurants, transport companies, guides and other suppliers are responsible for their own services.
(4) Inbound Austria is not liable for:
• flight delays
• traffic disruptions
• lack of snow
• weather conditions
• official decisions
• acts of third parties
(5) To the extent permitted by law, liability for material and financial damages is limited to the value of the respective contract.
11a Failure of Service Providers
If a service provider becomes insolvent, ceases operations or is otherwise unable to provide the agreed service, Inbound Austria may arrange an equivalent replacement. Unavoidable additional costs may be charged to the client. If no equivalent replacement is available, both parties may withdraw from the affected part of the contract. A cost‑free withdrawal is only possible insofar as Inbound Austria does not bear non‑refundable or binding supplier costs. Non‑recoverable third‑party costs remain payable.
12. Data Protection, Confidentiality and Non‑Circumvention
(1) Personal data is processed exclusively in accordance with the GDPR.
(2) The client shall treat all pricing information, supplier contacts and business information confidentially.
(3) The client agrees not to contract directly with suppliers introduced by Inbound Austria for a period of 24 months after project completion if such contracting would circumvent Inbound Austria.
(4) Existing business relationships remain unaffected.
12.2 Participant Lists
The client shall provide complete and accurate participant data in due time and confirms that they are authorised to share such data. Inbound Austria processes this data solely for the purpose of service delivery.
13. Applicable Law and Jurisdiction
These GTC are governed exclusively by Austrian law, excluding conflict‑of‑law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). Jurisdiction lies with the competent court at the registered seat of Inbound Austria.
14. Final Provisions
In the event of discrepancies or contradictions between the German and English versions of these GTC, the German version shall prevail. The English translation is provided for information purposes only.
